Terms of Service

These Terms of Service ("Terms") govern your access to and use of Rubrkit, including our website, dashboard, API, command-line tools, and Model Context Protocol server (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you agree on its behalf and confirm you have authority to do so.

1. Acceptance of these Terms

By accessing or using the Service you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service. We may update these Terms from time to time as described in "Changes to these Terms" below; your continued use after an update means you accept the revised Terms.

2. What Rubrkit does

Rubrkit reviews AI instructions — prompts, agent specs, commands, skills, workflows, and rubr_flow procedures (each an "artifact") — against a rubric, then suggests testable rewrites and eval checks. The Service is provided to help you improve your own instructions; it does not guarantee any particular result from any model or system you later run those instructions against.

3. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials and API keys secure, and for all activity that occurs under your account.

Notify us promptly at the address below if you suspect any unauthorized use of your account or API keys. We are not liable for losses arising from your failure to safeguard your credentials.

4. Plans, credits, and billing

The Service is offered on free and paid plans. Paid plans and credit purchases are billed through our third-party payment processor. By selecting a paid plan you authorize recurring charges until you cancel.

  • Credits are consumed when you run audits, evals, and related operations, and are non-refundable except where required by law.
  • Fees are exclusive of taxes, which you are responsible for where applicable.
  • We may change pricing or plan features on a prospective basis; we will give reasonable notice of material changes to recurring fees.
  • You may cancel at any time; cancellation stops future renewals but does not entitle you to a refund of fees already paid for the current period.

5. Your content and artifacts

You retain all rights to the artifacts and other content you submit to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to operate and improve the Service for you — for example, to grade an instruction, generate a rewrite, run an eval, and store the result in your account.

You are responsible for Your Content and confirm you have the rights necessary to submit it and that it does not violate these Terms or any law. Do not submit content you are not authorized to share, and avoid submitting secrets, personal data, or regulated data you do not want processed by the Service and its model providers.

6. Acceptable use

You agree not to:

  • Use the Service to build, refine, or distribute instructions intended to cause harm, facilitate illegal activity, or generate malware, abuse, or large-scale spam.
  • Attempt to access accounts, data, or systems you are not authorized to access, or probe, scan, or disrupt the integrity of the Service.
  • Reverse engineer, resell, or create a competing service using the Service except as permitted by applicable law.
  • Exceed documented rate limits, circumvent usage metering or credits, or use automated means to overload the Service.
  • Upload content that infringes intellectual property rights or violates the privacy or other rights of any person.

7. API, CLI, and MCP access

API keys are scoped credentials issued to your account. You are responsible for the operations performed with your keys and for keeping them confidential. We may rate-limit, suspend, or revoke keys that we reasonably believe are compromised, abused, or used in violation of these Terms.

Our developer tools are provided under these Terms and any additional documentation they reference. We may change or deprecate endpoints and commands; where a change is breaking, we will use reasonable efforts to communicate it in advance.

8. Intellectual property

The Service, including its software, rubrics, design, and trademarks, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred. Feedback you provide about the Service may be used by us without restriction or obligation to you.

9. Third-party services

The Service relies on third-party providers, including model providers that process artifacts and a payment processor that handles billing. Your use of those features may be subject to the providers' own terms. We are not responsible for third-party services we do not control.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Rubrkit produces automated, rubric-based assessments and AI-generated rewrites. These are suggestions, not guarantees. Outputs may be incomplete or incorrect, and you are responsible for reviewing them before relying on them in any production system.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or USD 100.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; sections that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

14. Changes to these Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by applicable law without regard to conflict-of-laws principles, and any disputes will be resolved in the courts of competent jurisdiction for our place of business, unless mandatory local law provides otherwise.
